Establishment of a company in the Republic of Moldova

In Moldova, you can register 3 types of enterprises:

1. Individual enterprise – individual entrepreneur – for individuals, citizens of Moldova
2. Limited liability company – LLC or in Moldavian abbreviated as SRL
3. Joint stock company – JSC (Romanian – SA)

In Moldova, you can register an enterprise within 1 hour to 3 days. The first instance, where the future businessman applies, is the Department of Registration of Enterprises under the Public Services Agency of the Republic of Moldova. When applying to this government agency, you need to be well prepared.


At the Registration Chamber you will need the necessary list of documents:
– passports of the founders,
– 5 names for your company or company (we advise you to choose a lot more names, as often good, sonorous company names are already taken),
– the legal address of the future enterprise (by the way, in Moldova it is not at all necessary that this be the address of residence of one of the founders),
– the necessary amount to pay for the registration of the enterprise and the payment of state fees.

Having reserved the name for the company, you are obliged to open a temporary bank account, which, after the finalization of the documents, will become the permanent account of your company.

To do this, of course, you must have an amount to contribute to the authorized capital.

You can deposit money into the account of the company after its registration. If there is only one founder, the full amount required by law is paid – the authorized capital. When there are more founders, the amount can be paid in installments. If not the entire amount was initially paid, then within six months the rest of the authorized capital.

The fact is that when registering with the tax office, you will be required not only to provide documents received at the registration chamber, but also a notarized lease agreement or a letter from the owner of the apartment or rented office, stating that it allows you to use the address as legal address of the company.

This is just one example, when an entrepreneur, not fully knowing the rules for registration and registration with the tax office, the rules for maintaining accounting, falls into a stalemate. Ready made (shelf) companies

What is a shelf company? This is a real-life, operating enterprise. Even if the firm does nothing, it acts as a subject of tax law. In order for the client to have the opportunity to buy the company in the shortest possible time – one day. You will never see a ready-made company for sale with a bad name, because the name is one of the most important factors in the purchase of this particular company by a client.

A ready-made company is also a guarantee that you do not have to look for a legal address for a future enterprise.

Unfortunately, in Moldova, only a few serious law firms can offer clients a ready-made enterprise. This is explained by the fact that the demand for ready-made firms has arisen here quite recently and the market has not yet had time to offer businessmen the required number of ready-made firms.
