2. Legal Entity Name. Company Name or Trade Name

All business names in Moldova are recorded in Latin script. This can also be a transliteration.
The company name, or trade name, must not coincide with an already registered name. It must differ by at least three letters from the existing one. Moreover, with such a difference, you will most likely not be allowed to have your name be a constituent part of another name – of another enterprise. For example, if the existing enterprise is “SuperKom”, you will almost certainly be denied registration of a business with the name “Super”.
The company name must also not coincide with a registered trademark in Moldova.

3. Company Logo (if any)

Before placing a hastily prepared logo on the company seal, make sure it does not resemble registered trademarks or logos and designations of other companies. Otherwise, trouble is unavoidable.
The company logo (emblem) should be prepared in advance – before business registration. It can be used on the company seal.

4. Legal Address of the Enterprise

Before registering a business, you should decide on the legal address.
The following points should be considered:
– Your tax inspectorate will be located in the sector or district where the enterprise is registered. Therefore, do not rush to register an enterprise in some village if you intend to work in the capital. If a tax inspection discovers that you are not at the legal address, fines are unavoidable.
– The legal address is indicated in all official documents of the enterprise, and you should immediately consider the presence of divisions, branches, and representative offices.
– As a last resort, the legal address can be ordered as a separate outsourced service. But remember! There are many companies that poorly manage their services for you. For example, in the practice of a firm we know, there was a case where the tax inspectorate arrived to inspect an enterprise at its legal address, and the secretary who was there stated, “We only provide a postal address.” A competent secretary or lawyer must confirm that the client’s legal address is indeed located there and provide a power of attorney to represent the client company’s interests.

5. Study the enterprise’s tax policy in advance

In Moldova, there are three main types of taxes:
Corporate income tax, dividend tax, value-added tax.
As well as excise duties on certain types of goods.

6. Determine the enterprise’s types of activities in advance

It would not be entirely correct if an enterprise engaged in agriculture lists consulting as a type of activity.
