Introduction

1.1. Scope of the Request and Area of Research

This report is dedicated to analyzing the legal status of branches (“sucursale”) of public (non-profit) organizations and commercial firms in the Republic of Moldova. The key question is whether such branches possess independent legal personality, i.e., whether they can be bearers of rights and obligations independently of their parent organizations.

1.2. Overview of Moldova’s Legal Environment and the Significance of the Civil Code Modernization

The legal framework of the Republic of Moldova governing legal entities and their structural subdivisions has undergone significant changes, particularly in connection with the modernization of the Civil Code, which entered into force on March 1, 2019, based on Law No. 133/2018. This reform aimed to clarify and unify the concepts of branches and subsidiaries, bringing Moldovan legislation closer to European standards.

The main legislative acts underlying this analysis are the Civil Code of the Republic of Moldova (No. 1107/2002, with subsequent amendments and additions), Law No. 86/2020 on non-profit organizations, Law No. 845/1992 on entrepreneurship and enterprises, and Law No. 220/2007 on the state registration of legal entities and individual entrepreneurs.

The modernization of the Civil Code was a targeted step towards increasing legal certainty and harmonization with international, particularly European, legal concepts in the field of corporate structures. This is confirmed by the “Explanatory Note” (Nota Informativă) to Law No. 133/2018, which explicitly states its compliance with the EU Association Agreement and EU legislation.

The legislative changes were not arbitrary; they aimed to simplify doing business for foreign companies and enhance Moldova’s investment attractiveness by introducing clearer, internationally recognized corporate forms. Understanding this modernization is crucial, as it fundamentally changed the terminology and legal status of structures previously known as “branches” (in the old sense of the term, meaning a separate subdivision) and “representative offices,” reclassifying them under the single term “sucursală” (a branch without legal personality) and establishing the term “filială” for subsidiaries (independent legal entities).

2. General Legal Framework for Branches (“Sucursale”) in Moldova under the Modernized Civil Code

2.1. Definition and Characteristics of a Branch (“Sucursală”)

The modernized Civil Code in Article 240 defines a “sucursală” (branch) as a separate subdivision of a legal entity, located outside its main registered office, having an appearance of permanence, its own management, and the material equipment necessary to carry out, in whole or in part, the activities of the parent organization.

The branch carries out its activities under the name of the legal entity that created it.

2.2. General Principle: Branches Do Not Have Independent Legal Personality

Article 240(3) of the Civil Code expressly states: “Sucursala nu este persoană juridică” (The branch is not a legal entity).

This is a fundamental principle of current Moldovan legislation regarding branches.

This means that the branch does not possess its own legal personality distinct from its parent company. It cannot independently own property, enter into contracts in its own name, or act as a separate party in legal proceedings.

The parent organization bears full responsibility for the obligations arising from the activities of its branch.

2.3. Abolition of the Concept of “Reprezentantă” (Representative Office) as a Separate Category

As of March 1, 2019, the concept of “reprezentantă” (representative office) was removed from Moldovan legislation. All existing representative offices at that time were reclassified as branches (“sucursale”).

Transitional provisions (Art. 11 of the Law on the Implementation of the Civil Code, LPA C civ, art. 11, detailed in

and

) stipulate that references in current legislation to “filială” (the old term for branch) or “reprezentantă” shall be considered references to “sucursală” until the legislation is fully harmonized.

Unification under the term “sucursală” and the explicit denial of legal personality were aimed at eliminating previously existing ambiguities and creating a clearer, more orderly system for understanding structural subdivisions of legal entities. Before the modernization, discrepancies could arise due to different laws or interpretations regarding the status of subdivisions. The reform of the Civil Code was intended to establish a single, clear definition and status for branches, regardless of whether they were previously called “filiale” or “reprezentanțe”. The lack of legal personality directly entails the full liability of the parent organization for the actions and debts of the branch, which is a critical factor for businesses when choosing a method of establishment. This clear distinction simplifies legal interactions with branches for third parties, as they know that the ultimate contracting and liable party is always the parent legal entity.

Table 1: Legislative Overview of the Legal Status of a Branch (“Sucursală”) in Moldova

Type of Parent Organization

Key Legislation

Legal Status of Branch (“Sucursală”) (Legal Entity)

Key Defining Characteristics

Commercial Firm – Domestic

Civil Code, Art. 240

No

Subdivision of the parent organization, does not possess its own legal personality, parent organization bears full liability

Commercial Firm – Foreign

Civil Code, Art. 241; Law on the Entry into Force of the Civil Code (LPA C civ), Art. 11

No

Subdivision of the parent organization, does not possess its own legal personality, the parent organization bears full responsibility

Public/Non-Profit Organization

Law No. 86/2020; Civil Code, Art. 240

No

Subdivision of the parent organization, does not possess its own legal personality, the parent organization bears full responsibility

3. Domestic Commercial Branches

Branches of Moldovan commercial enterprises (“firms”) fall under the general rule of Article 240 of the Civil Code and are not legal entities.

Law No. 845/1992 on Entrepreneurship and Enterprises, in its Article 21, historically defined branches as subdivisions lacking legal personality, endowed with property by the enterprise, and operating on the basis of regulations approved by it.

Although this law predates the modernization of the Civil Code, its general position regarding domestic branches aligns with the current position of the Civil Code concerning “sucursale.”

3.2. Elimination of the Historical Anomaly of Law No. 845/1992

Article 21(6) of Law No. 845/1992 previously stipulated, as a derogation from other paragraphs of the same article, that “branches and representative offices of enterprises of foreign states are established as legal entities.”

This created a significant discrepancy.

The modernization of the Civil Code and its transitional provisions, in particular Article 11 of the Law on the Implementation of the Civil Code (LPA C civ, art. 11, as detailed in

and

), resolved this conflict.

LPA C civ, art. 11(4) establishes that amendments to Articles 240 and 241 of the Civil Code apply from March 1, 2019. From this date, previously registered “filiale” (the old term for branches) and “reprezentanțe” are considered “sucursale.”

Of key importance is LPA C civ, art. 11(5)

: “If a branch of a foreign legal entity registered in the Republic of Moldova before March 1, 2019, had the status of a legal entity distinct from the foreign legal entity, it ceases to have the status of a distinct legal entity from the moment of making amendments according to paragraph (1) or, depending on the circumstances, paragraph (2).” This provision allowed for transformation into a Moldovan legal entity (e.g., LLC) until January 1, 2024, if the foreign parent company wished to retain separate legal personality for its activities in Moldova.

Reclassification of foreign branches that previously held legal entity status under Law No. 845/1992 is one of the most significant consequences of the modernization of the Civil Code. This was not merely a terminological shift, but a substantial change in the legal status for the affected entities. The conflict between Law No. 845/1992 (foreign branches as legal entities) and the intention of the modernized Civil Code (all branches as non-legal entities) required clear transitional rules. LPA C civ, art. 11 provided this clarity, forcing foreign companies to reconsider their status: either accept the non-legal entity status for their Moldovan branch, or restructure into a full-fledged subsidiary. The loss of legal personality by these foreign branches means that their obligations now fall directly on the foreign parent company, and their ability to act independently (e.g., in court, in contracts) is limited, requiring actions through the parent organization. This step aligns with the practice of many civil law countries, where branches are typically not separate legal entities, contributing to a more uniform international understanding of corporate structures. Foreign companies whose branches were registered as legal entities before March 2019 had to actively decide whether to transform them into subsidiaries before January 1, 2024, or consent to their reclassification into branches without legal entity status. This entailed legal, administrative, and possibly tax adjustments.

3.3. Registration Requirements (Law No. 220/2007)

Branches, including branches of foreign legal entities, are subject to registration with the Public Services Agency (ASP) in the State Register of Legal Entities. Law No. 220/2007 confirms that branches are registered without being granted legal entity status. Branches of foreign legal entities are assigned a state identification number (IDNO) distinct from the number of their parent company.

4. Legal Status of Branches of Public Organizations (Non-Commercial Organizations – NCOs)

4.1. Law No. 86/2020 on Non-Commercial Organizations

This law regulates the establishment, registration, and activity of NCOs, including public associations, foundations, and private institutions. The NCO itself acquires legal personality upon registration [Art. 1(3), Art. 13(2)].

Regarding branches, Article 18(1)(b) of Law No. 86/2020 states that the supreme governing body of the NCO decides on the establishment of branches and representative offices. The law does not provide for separate legal personality for NCO branches. They are considered subdivisions of the main NCO.

4.2. Compliance with the Principles of the Civil Code

The status of NCO branches as non-legal entities is consistent with the general principles of the modernized Civil Code (Art. 240).

4.3. Registration

NCOs are registered in the State Register of Legal Entities. The law does not provide for a separate registration procedure that would grant their branches legal personality.

The legal framework for NCO branches is consistent and clear: they are an extension of the parent NCO and do not possess an independent legal status. Law No. 86/2020 treats the NCO itself as the legal entity. The authority to establish branches belongs to the governing body of the NCO, indicating that branches are subordinate and integral parts, not independent entities. This aligns with the general principle of branches lacking legal personality, as established in the Civil Code. For the NCO, this means that all activities, contracts, and obligations of the branch are legally the activities, contracts, and obligations of the parent NCO. This simplifies management but concentrates liability.

5. Impact of the Modernized Civil Code (Law 133/2018): Clarifications and Differences

5.1. “Sucursală” (Branch) as a Confirmed Non-Legal Entity

As established by Art. 240 and Art. 241

of the Civil Code, a “sucursală” (regardless of whether it belongs to a domestic or foreign organization, commercial or non-commercial) is unequivocally not a legal entity. Definition of “Control” (Controlul)

The “Informational Note” to Law No. 133/2018 indicated that the definition of “control” was to be included in the draft of Article 68^20, paragraphs (3)-(6) of the Civil Code.
This is a project definition, modeled on the European Model Company Act (EMCA), which included elements such as holding a majority of voting rights, the right to appoint/remove a majority of members of administrative/management/supervisory bodies, or exercising dominant influence through a contract or charter provisions.

Although the exact adopted text of the article similar to the draft “Article 68^20”, defining control mechanisms, is not presented in full in the provided fragments of the final law, the Civil Code now contains a special section “Grupul de persoane juridice cu scop lucrativ” (Articles 286-294). Article 287 is titled “Noțiunea de control și societate-mamă” (Concept of control and parent company), Article 288 – “Prezumțiile de control” (Presumptions of control), and Article 289 – “Controlul indirect” (Indirect control).

Limitation: The full text of these specific articles (287, 288, 289), detailing the mechanisms of control (e.g., percentage of voting rights, appointment rights), is not available in the provided fragments. However, Article 290 clearly establishes that a “filială” is a controlled legal entity. The “Informational Note” confirms the legislative intent to define control based on established corporate governance principles. Article 904, although concerning obstacles to the performance of contractual obligations, refers to the “sphere of control of the debtor” (sfera de control a debitorului) as a relevant concept.

5.3. Transitional Provisions (LPA C civ, art. 11)

These provisions played a crucial role in managing the reclassification of existing structures. They mandated the alignment of founding documents by January 1, 2024, and established that as of March 1, 2019, old “filiale” (branches) and “reprezentanțe” are legally considered “sucursale” (new branches, non-legal entities). Foreign branches that were previously legal entities lost this status unless they were transformed.

The clear terminological and conceptual distinction between “sucursală” (branch without legal personality) and “filială” (subsidiary with legal personality, controlled within a group) is a fundamental achievement of the Civil Code modernization. The previous system could lead to confusion. By adopting terms and concepts (such as “group of legal entities” and a clear definition of “control”, even if its full adopted text is absent from the fragments) aligned with EU/international standards,

Moldova sought to enhance legal clarity for both domestic and foreign entities. The introduction of the concept of a “group of legal entities” and the definition of “filială” as a controlled legal entity pave the way for special regulation of group liability, transparency, and intra-group transactions, which is characteristic of developed corporate law systems. This reform facilitates more complex corporate structures and potentially aligns Moldovan corporate law with the requirements for deeper economic integration, reflecting a strategic choice of legal policy.

The emphasis on defining “control” is crucial for determining the boundaries of the group and the liability of the parent company.

Table 2: Comparison of “Sucursală” (Branch) and “Filială” (Subsidiary) under Modernized Moldovan Legislation

Feature

“Sucursală” (Branch)

“Filială” (Subsidiary)

Legal Personality

None

Has its own legal personality

Liability of the Parent Organization

Full liability of the parent organization for all debts and obligations of the branch

Liability of the parent organization is generally limited to its contribution to the subsidiary (except in special cases)

Contractual Capacity

Cannot enter into contracts in its own name; contracts are concluded by the parent organization

Can enter into contracts in its own name and is liable for them

Property Ownership Rights

Cannot own property in its own name; assets belong to the parent organization

Can own property in its own name

Participation in Legal Proceedings

Generally cannot act as a plaintiff or defendant in its own name; claims are filed by/against the parent organization

Can act as a plaintiff and defendant in its own name as an independent legal entity

Typical Relationship with the Parent Organization

Separate subdivision, part of the parent organization

Separate legal entity, controlled by the parent organization within a group of legal entities

Applicable Moldovan Legislation

Civil Code (Art. 240, 241); Law No. 220/2007

Civil Code (Art. 290 and related); Law No. 220/2007; special laws on legal entities of the relevant form

6. Lawsuits must be filed by or against the parent organization. Article 39(3) of the Code of Civil Procedure allows filing a claim arising from the branch’s activities at the branch’s location, but the parent legal entity remains the party to the case.

Filială: Can act as a plaintiff and defendant in court in its own name as an independent legal entity.

Logically, if a branch is not a legal entity, it cannot independently perform actions requiring legal personality, such as owning property or participating in legal proceedings. All such rights and obligations transfer to the parent organization. The choice between establishing a “sucursală” or a “filială” (if applicable, e.g., for commercial activities or for foreign NGOs establishing a Moldovan NGO) becomes strategic, weighing the simplicity of creation and control (branch) against liability protection and a separate local identity (subsidiary).

7. Conclusion

7.1. Final Answer on Branches of Firms (Commercial Enterprises)

According to the current legislation of the Republic of Moldova, primarily the modernized Civil Code (Art. 240 for domestic, Art. 241 for foreign), branches (“sucursale”) of commercial firms, both domestic and foreign, are not legal entities. They are considered divisions of their parent companies, which bear full responsibility for their activities. The historical provision of Law No. 845/1992, which granted legal personality to branches of foreign firms, was repealed by the Civil Code and its transitional provisions, which reclassified such branches as non-legal entities, unless they were converted into a recognized Moldovan legal entity form before January 1, 2024.

7.2. Final Answer on Branches of Public Organizations (Non-Profit Organizations)

Similarly, according to Law No. 86/2020 on non-commercial organizations and the general principles of the Civil Code, branches of public (non-commercial) organizations are not legal entities. They act as an extension of the parent NCO, which holds legal personality.

7.3. Confirmation of the Unified Status

The modernization of the Civil Code successfully unified the concept of a branch (“sucursală”) as a subdivision without independent legal personality, clearly separating it from “filială” (subsidiary company), which is an independent, controlled legal entity within a group structure. This applies to both the commercial and non-commercial sectors.

The legal status of branches (“sucursale”) is currently unambiguous: they are not legal entities in Moldova. This clarity is a direct result of the modernization of the Civil Code, aimed at legal harmonization and increasing investment attractiveness. This unified status simplifies legal understanding for all stakeholders but requires parent organizations to carefully consider issues of liability and operational structuring. Foreign legal entities, in particular, have had to navigate the transitional period and make strategic decisions regarding the form of their presence in Moldova.

1.
